1. Company information
This website and the consulting services offered through it are operated by Percentagem Envolvente LDA, trading as MSN Management, a company registered in Portugal (NIF 517 102 790), with registered address at Rua Arieiro 12, 2460-821 Montes, Alcobaça, Leiria, Portugal ("MSN Management", "we", "us", "our"). By accessing this website, requesting a consultation, or engaging our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.
3. Scope of services
MSN Management provides professional management consulting services, which may include strategy and structuring advice, operational consulting, project and programme delivery leadership, business resiliency and continuity planning, agile transformation, organizational design, risk and governance advisory, change management, and related advisory services. The precise scope of any engagement is defined in the written proposal agreed with each client.
4. Professional disclaimer
Our services provide professional advice and recommendations based on the information available to us and our professional judgement. We do not guarantee any specific business outcome. Nothing on this website constitutes legal, financial, tax, or investment advice. Clients remain responsible for their own business decisions.
5. Engagement & payment terms
Services purchased through our online store are priced and charged in US dollars (USD) at the time of checkout. For bespoke engagements arranged separately, work begins once a written proposal has been agreed; unless stated otherwise in the proposal, invoices are payable within 7–14 days of the invoice date, and we reserve the right to suspend work where invoices remain unpaid beyond the agreed term. Payments are processed securely by our third-party payment provider (Revolut); we do not store your card details. Charges appear on your bank or card statement as ByteNFT*MSN. Cancellations and refunds are governed by our Refund & Cancellation Policy.
6. Client responsibilities
To enable us to deliver effectively, clients agree to provide timely access to relevant information, personnel, and decision-makers, and to respond promptly to reasonable requests. Delays caused by a client may affect timelines and fees.
7. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other in connection with an engagement, and to use it only for the purpose of that engagement, except where disclosure is required by law.
8. Intellectual property
Unless otherwise agreed in writing, MSN Management retains ownership of its pre-existing methodologies, frameworks, and tools. Deliverables prepared specifically for a client become the client's property upon full payment, subject to our retained rights in our underlying know-how.
9. Limitation of liability
To the maximum extent permitted by applicable law, MSN Management's total liability arising out of or in connection with any engagement shall not exceed the fees paid for that engagement. We shall not be liable for any indirect, incidental, or consequential losses. Nothing in these terms excludes liability that cannot lawfully be excluded.
10. Force majeure
Neither party shall be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, acts of government, labour disputes, or failures of telecommunications or infrastructure.
11. Termination
Either party may terminate an engagement in accordance with the terms set out in the relevant proposal and our Refund & Cancellation Policy. Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination.
12. Third-party links
Our website may contain links to third-party sites. We are not responsible for the content, policies, or practices of those sites.
13. Governing law
These terms are governed by the laws of Portugal. The courts of Portugal shall have jurisdiction over any dispute arising in connection with them, without prejudice to any mandatory consumer protections available to you.
14. Amendments
We may update these terms from time to time. The version published on this page at the time you use our website or engage our services applies. Material changes will be reflected in the "Last updated" date above.
